Terms of Service

1. Acceptance of Terms

These Terms govern access to and use of the Relay maintenance-operations prototype. By creating an account or using Relay, you agree to this draft on behalf of yourself or the organization you represent. “Relay,” “we,” and “us” refer to [legal entity name to be added before launch]. These Terms require qualified legal review before production use.

2. Description of Relay

Relay is software designed to help property managers receive, organize, review, assign, and track maintenance requests. It includes properties and units, vendor records and assignments, organization-scoped dashboards, public property-specific intake links, and AI-assisted request analysis.

3. Manager Accounts

Managers must provide accurate account information and use Relay only for organizations they are authorized to represent. Each current signup creates its own organization workspace; team invitations and shared manager roles are not currently provided.

4. Account Security

You are responsible for maintaining the confidentiality of your credentials, controlling access to your account, and notifying [add Relay support/legal email before launch] if you suspect unauthorized access. Google sign-in is also subject to Google’s applicable terms.

5. Authorized Use

You may use Relay to manage legitimate property-maintenance operations for properties, units, tenants, and vendors you are authorized to administer. Public maintenance links should be shared only for their intended property.

6. Maintenance Request Information

Managers are responsible for establishing an appropriate basis to collect and process tenant and vendor information and for responding to requests in accordance with their own obligations.

Relay is not an emergency service and should not be relied upon as a replacement for emergency services or immediate emergency response. Users should contact appropriate emergency resources when safety or serious property damage requires immediate action.

7. AI-Assisted Features

Maintenance problem text and fallback category/priority may be analyzed by OpenAI. Generated summaries, classifications, priorities, and follow-up suggestions are assistive and may contain errors. Property managers remain responsible for reviewing requests and making operational, safety, dispatch, and vendor decisions.

8. Property and Vendor Information

You are responsible for the accuracy and lawful use of property, unit, vendor, and contact information entered into Relay. Relay does not verify vendor licensing, qualifications, availability, insurance, or work quality and does not automatically contact vendors.

9. Third-Party Services

Relay currently integrates with Google for optional authentication and OpenAI for maintenance-intake analysis. Third-party services are governed by their own terms and policies, and their availability or behavior is outside Relay’s direct control.

10. Service Availability

Relay is currently an MVP prototype. Features may be interrupted, changed, incomplete, or unavailable, and no uptime or support-level commitment is offered unless a separate written agreement states otherwise.

11. User Responsibilities

You are responsible for:

  • Reviewing and responding appropriately to maintenance requests
  • Keeping account, property, unit, and vendor information accurate
  • Using appropriate emergency and safety procedures
  • Complying with applicable housing, privacy, employment, vendor, and other obligations
  • Obtaining necessary permissions for information submitted to Relay

12. Prohibited Uses

You may not:

  • Access or attempt to access another organization’s account or data without authorization
  • Interfere with, probe, disrupt, or circumvent Relay’s security controls
  • Use Relay for fraud, malicious activity, or unlawful content
  • Introduce malware or abuse public maintenance links
  • Misrepresent Relay as an emergency service or guaranteed maintenance provider

13. Intellectual Property

Users retain rights they have in information they submit. Subject to legal review, the Relay software, interface, branding, and related materials are intended to remain owned by [legal entity name to be added before launch] or its licensors and may be protected by applicable intellectual-property laws.

14. Feedback

If you provide product suggestions or feedback, you permit Relay to use them to evaluate and improve the service without an obligation to compensate you. This clause requires review for the final business structure.

15. Disclaimers

To the extent permitted by applicable law, Relay is provided on an “as available” basis without guarantees that requests, AI output, classifications, notifications, records, or third-party services will be complete, accurate, uninterrupted, or suitable for a particular operational decision. Applicable law may provide rights that cannot be waived.

16. Limitation of Liability

Draft requiring legal review: To the extent permitted by applicable law, Relay and [legal entity name] will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service. A legally appropriate liability cap and jurisdiction-specific exceptions must be established before production launch.

17. Indemnification

18. Suspension and Termination

Relay may suspend access when reasonably necessary to protect accounts, organizations, data, users, or service integrity, or to address a material violation of these Terms. Production account-closure, export, and deletion procedures must be defined before launch.

19. Changes to the Service

Relay may add, remove, or modify features as the prototype develops. Changes will not intentionally grant one organization access to another organization’s manager data.

20. Changes to These Terms

These Terms may be updated as the product and legal requirements develop. The “Last updated” date identifies the current version. A production process for notice and acceptance of material changes must be established before launch.

21. Governing Law
